1. Acceptance of Terms

Welcome to AI Soulmate (the "App"), operated by AI Soulmate ("we," "our," or "us"). By downloading, installing, or using the App, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.

            Age Requirement: You must be at least 13 years old to use the App. If you are under 18, you must have parental or guardian consent to use the App.
        

Binding Agreement: These Terms constitute a legally binding agreement between you and AI Soulmate. Your use of the App signifies your acceptance of these Terms.

2. Description of Service

AI Soulmate is a mobile application that provides AI-powered conversational experiences with virtual companions. The App includes:

AI Chat: Text-based conversations with AI characters
Voice Interaction: Voice messages and calls (premium feature)
Character Selection: Multiple AI personalities to choose from
Personalization: Customizable user profiles and preferences
Media Sharing: Exchange photos and media with AI companions
Subscription Services: Premium features available via in-app purchase

AI-Generated Content: The App uses artificial intelligence to generate responses. AI behavior is simulated and does not reflect real human interaction (see Section 7).

3. User Accounts

3.1 Account Creation

You must provide accurate, current, and complete information during registration
You are responsible for maintaining the confidentiality of your account credentials
You agree to notify us immediately of any unauthorized use of your account
You are responsible for all activities that occur under your account

3.2 Account Security

Choose a strong password and do not share it with others
We are not liable for losses caused by unauthorized use of your account
You may not transfer your account to another person without our consent

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for:

Violation of these Terms
Fraudulent, abusive, or illegal activity
Non-payment of subscription fees
Prolonged inactivity (after 180 days with notice)

You may delete your account at any time via Settings > Privacy > Delete Account.

4. Subscription and Payments

4.1 Premium Subscription

Free Features: Basic chat functionality is available without subscription
Premium Features: Voice calls, unlimited messages, advanced AI, priority support require an active subscription
Plans: Weekly, monthly, and annual subscription plans available
Pricing: Current prices displayed in the App (subject to change with notice)

4.2 Billing and Renewal

Subscriptions are billed through your Apple App Store account
Auto-Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
Cancellation: Cancel anytime via App Store Subscriptions settings
Refunds: Processed according to Apple App Store refund policy

4.3 Price Changes

We may change subscription prices at any time. Price changes for existing subscribers take effect at the next renewal period. We will provide at least 30 days' notice of price increases.

4.4 Payment Processor

Payments are processed by Apple Inc. We do not store your credit card information. See Apple's Privacy Policy for details on payment data handling.

5. User Content

5.1 Content You Provide

"User Content" includes all messages, photos, voice recordings, and other materials you submit through the App.

You retain ownership of your User Content. By using the App, you grant us a worldwide, non-exclusive, royalty-free license to:

Store, process, and display your User Content as necessary to provide the service
Use anonymized User Content to improve AI models and app functionality
Backup User Content for service continuity and disaster recovery

5.2 Content Restrictions

You agree not to submit User Content that:

Violates laws, regulations, or third-party rights
Contains hate speech, harassment, or threats
Includes explicit sexual content involving minors
Infringes intellectual property rights
Contains malware, viruses, or harmful code
Impersonates another person or entity

5.3 Content Monitoring

We reserve the right (but have no obligation) to:

Monitor User Content for violations of these Terms
Remove or refuse to display User Content that violates these Terms
Report illegal content to law enforcement authorities

We do not pre-screen User Content. You are solely responsible for the content you submit.

6. Prohibited Uses

You agree not to:

Reverse Engineer: Decompile, disassemble, or reverse engineer the App
Automation: Use bots, scrapers, or automated tools to access the App
Abuse: Overload, attack, or interfere with App infrastructure
Exploit: Exploit bugs, glitches, or vulnerabilities for unfair advantage
Commercial Use: Use the App for commercial purposes without authorization
Impersonation: Create accounts impersonating others or using false information
Data Mining: Extract data from the App for unauthorized purposes
Circumvention: Bypass paywalls, access controls, or subscription requirements

Violation of these prohibitions may result in immediate account termination and legal action.

7. AI-Generated Content Disclaimer

IMPORTANT: AI Soulmate provides AI-generated conversational experiences. You acknowledge and agree to the following:

7.1 AI Service Providers

The App uses the following third-party AI services to generate responses:

xAI (Grok) — primary AI provider
OpenAI — fallback provider
OpenRouter — fallback routing provider

By using the chat features, you consent to your messages being processed by these providers. See our Privacy Policy for details on what data is shared.

7.2 Not Real Relationships

AI characters are simulated personalities, not real people
Conversations are generated by algorithms and do not reflect human emotions or intentions
The App is for entertainment purposes and should not replace real human relationships

7.3 No Professional Advice

AI responses do not constitute professional advice (medical, legal, financial, psychological)
Do not rely on AI-generated content for critical decisions
Seek qualified professionals for serious matters

7.4 Accuracy and Reliability

AI may produce inaccurate, incomplete, or inappropriate responses
We do not guarantee the accuracy, reliability, or appropriateness of AI-generated content
AI behavior may change as models are updated

7.5 Emotional Well-Being

If you experience emotional distress, depression, or mental health concerns, contact a licensed professional

            You use AI-generated content at your own risk. We are not liable for harm resulting from reliance on AI responses.
        

8. Intellectual Property

8.1 Our Rights

The App and all content, features, and functionality (excluding User Content) are owned by AI Soulmate and are protected by copyright, trademark, and other intellectual property laws.

You may not:

Copy, modify, or distribute App content without authorization
Use our trademarks, logos, or branding without written permission
Create derivative works based on the App

8.2 Your License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes, subject to these Terms.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the App, we may use them without obligation or compensation to you.

9. Third-Party Services

The App integrates with third-party services. Your use of these services is subject to their respective terms and policies:

We are not responsible for third-party services. Any issues with third-party services should be directed to the respective provider.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

10.1 Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Merchantability, fitness for a particular purpose, non-infringement
Uninterrupted, error-free, or secure operation
Accuracy, reliability, or completeness of content

10.2 Limitation of Damages

IN NO EVENT SHALL AI SOULMATE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or goodwill
Damages resulting from use or inability to use the App
Damages resulting from AI-generated content or user reliance thereon

MAXIMUM LIABILITY: Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim, or $100 USD, whichever is greater.

10.3 Exceptions

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability. In such cases, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless AI Soulmate and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of:

Your use of the App
Your violation of these Terms
Your User Content
Your violation of any third-party rights

12. Termination

12.1 Termination by You

You may terminate these Terms at any time by:

Deleting your account via Settings > Privacy > Delete Account
Uninstalling the App from your device
Canceling your subscription (if applicable)

12.2 Termination by Us

We may terminate or suspend your access immediately, without notice, for:

Violation of these Terms
Fraudulent, illegal, or abusive activity
Non-payment of subscription fees
Legal or regulatory requirements

12.3 Effect of Termination

Upon termination:

Your right to use the App ceases immediately
Your User Content may be deleted (subject to retention policies)
Subscription fees are non-refundable (unless required by law)
Provisions that by nature should survive (Sections 8, 10, 11, 13) remain in effect

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

13.2 Dispute Resolution

Any dispute arising out of these Terms or use of the App shall first be attempted to be resolved through informal negotiation. If resolution cannot be reached, disputes shall be resolved through binding arbitration.

13.3 Class Action Waiver

            You agree to resolve disputes on an individual basis only. You waive the right to participate in class actions, class arbitrations, or representative actions.
        

13.4 Exceptions by Jurisdiction

If you reside in the EU, you may have mandatory consumer protection rights that cannot be waived by arbitration.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via:

In-App Notification: Alert when you next open the App
Email Notification: If you have provided an email address
Effective Date: Updated "Effective Date" at the top of these Terms

Continued use of the App after changes constitutes acceptance. If you do not agree to updated Terms, discontinue use of the App.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AI Soulmate regarding the App and supersede all prior agreements.
